    Simon Property and Taubman revise terms of merger deal

    Simon Property Group, the biggest U.S. mall operator, will cut its purchase price for an 80% stake of rival Taubman Centers by 18%, both companies said on Sunday, as the coronavirus upends the retail industry sector.

    The agreed discount comes as the two companies settled a legal dispute over the transaction, which Simon had previously threatened to walk away from, citing the hit to the industry from COVID-19.

    Under the revised terms, Simon will pay $2.65 billion for the 80% stake in the Taubman Realty Group (TRG), cutting its offer price to $43 per share in cash from $52.50 originally announced in February.

    The Taubman family will sell about one-third of its ownership interest at the transaction price, leaving them with a 20% stake in TRG, the companies added.

    The companies said they also have settled their pending litigation in a Michigan court over the merger and the companies expect the deal to close later this year or early next year.

    Simon, which runs shopping chains such as the Woodbury Common Premium Outlets in New York, said in June it was abandoning the deal.

    Simon said at that time the coronavirus outbreak had “disproportionately hurt” Taubman’s malls given their location in densely populated metropolitan areas and reliance on tourism.

    Online shopping growth had already slashed foot traffic at brick-and-mortar retail stores and the pandemic has only accelerated that trend.

    Simon also said Taubman did not cut costs to mitigate the impact of the pandemic.

    Taubman had said Simon’s termination of the deal was without merit and filed a lawsuit rejecting Simon’s allegations.

    Siam Piwat and partner Simon Property Group will open Siam Premium Outlets in Bangkok next week.

    Located near the Suvarnabhumi International Airport, the first Premium Outlets-branded shopping center in Thailand will open on June 19. The center will feature more than 200 brands, from global luxury labels including Burberry, Balenciaga, Coach, Hugo Boss, and Montblanc, to local brands, including EveandBoy and Jim Thompson.

    The joint venture, Siam Piwat Simon, said 60 brands will feature exclusively at Siam Premium Outlets Bangkok.

    The shopping center will also house a 1300sqm Nike premium store, locally inspired art, and a 1200sqm food hall concept by Food Republic.

    “Siam Premium Outlets Bangkok will be an economic driver for the Thai economy; the center will create more than 1000 career opportunities,” said Michael Tang, MD of Siam Piwat Simon.

    “The experience of the center extends beyond shopping with amenities and design features that make the center an exciting community space and a relaxing shopping destination.”

    According to Tang, the shopping center will team up with other key tourist attractions to “enhance the appeal of the area as a major local and tourist destination”.

    US-based shopping mall operator Simon Property is planning expansion of its outlet malls format into the Southeast Asian market.

    The company has operated an outlet in Malaysia’s Johor since 2011, and opened a new property in Genting Highlands, near Kuala Lumpur, last year. Its first premium outlets in Thailand will open in Bangkok by the end of next year in collaboration with local property developer Siam Piwat.

    Simon Property’s director for international development and finance Uchenna Akujuo said the company’s success in the development of premium outlets, of which 29 out of 100 are outside the US, has stemmed from its strong relationship with top global brands, and revealed that Asia and Southeast Asia remain a strategic focus.

    “We are bringing to Thailand and Bangkok high-quality brands and a shopping experience. We understand the needs of customers and tenants. We are able to leverage different customers all over the world whether in Asia, North America or Europe,” he said.

    The company’s joint venture with Siam Piwat will see it developing three locations in Thailand within the next five years.

    Siam Piwat first executive VP for business development and investment Chollachat Meksupha said the company will invest around THB4 billion (US$123 million) into the first outlets.
